1. Introduction

This content creator agreement is entered into between you and Fancy Tech LLC, a Nevada limited liability company (“Company,” “we,” “our,” or “us”), and governs your access to and use of ThirstChat as a Creator.

This agreement is a separate agreement from the ThirstChat Terms of Service. You must accept this agreement separately during Creator onboarding or before you use Creator features. If you do not agree to this agreement, you must not create or operate a Creator account, offer Creator Interactions, upload, stream, send, or otherwise make available Creator Content, participate in paid calls or video chats, or receive Creator Earnings.

Capitalized terms not defined in this agreement have the meanings given to them in the Terms of Service.

2. Definitions

In this agreement, the following definitions apply:

“Co-Authored Content” means Creator Content that depicts, includes, features, or incorporates any person other than you, whether visually, audibly, by name, by likeness, or by any other identifying characteristic.

“Creator Content” means any Content you upload, transmit, stream, create, send, license, display, or otherwise make available through ThirstChat in connection with your Creator account, including profile materials, photos, videos, live video, audio, messages, captions, thumbnails, metadata, and other media.

“Creator Earnings” means amounts payable to you for Creator Interactions under this agreement, after applying the applicable revenue split and all applicable deductions, adjustments, offsets, refunds, reversals, chargebacks, reserves, holdbacks, fees, and taxes.

“Creator Interaction” means any feature, interaction, communication, or transaction on ThirstChat for which ThirstChat Credits are redeemed to access, receive, view, or participate in your Creator Content or communications, including phone calls, 1-on-1 video chat, text messages, picture, video, or audio messages, PPV unlocks, and tips.

“Credit Purchase” means a payment made to ThirstChat to obtain ThirstChat Credits or otherwise fund a User's ThirstChat Credit balance, including any applicable taxes and fees charged at checkout.

“Fan” means a User who redeems ThirstChat Credits for a Creator Interaction.

“Required Records” means all records, documents, consents, releases, identity-verification materials, age-verification materials, performer records, tax forms, payout information, trader information, and compliance materials that you must obtain, maintain, or provide under this agreement, the Terms of Service, our policies, payment processor, payment partner, and card-network requirements, or applicable law, including records required under 18 U.S.C. sections 2257 and 2257A and 28 C.F.R. Part 75 where applicable.

“ThirstChat Credits” means the virtual credits that a User may obtain from ThirstChat and redeem on ThirstChat for Creator Interactions. ThirstChat Credits are not money, legal tender, a stored-value account, or a deposit account.

3. Eligibility and Creator Verification

To act as a Creator, you state that the following facts are accurate:

  • you are at least 18 years old and at least the age of majority in your jurisdiction, if higher;
  • you have the legal capacity to enter into and perform this agreement;
  • you are not prohibited from creating, sharing, streaming, or monetizing adult-oriented content under the laws that apply to you;
  • you will complete all identity, age, tax, payout, KYC, KYB, AML, sanctions, and fraud-prevention checks we or our service providers require; and
  • all information and documents you provide to us or our service providers are accurate, complete, current, and belong to you.

You must promptly update your account information if it changes. We may require re-verification or additional information before allowing you to use Creator features, publish Creator Content, participate in live Creator Interactions, or receive payouts.

4. Separate Acceptance During Creator Signup

You acknowledge that acceptance of this agreement is required as part of the Creator signup and onboarding process. You must affirmatively accept this agreement before your Creator account is approved or before Creator features are enabled. If you do not accept this agreement, you must not create or operate a Creator account, offer Creator Interactions, upload or stream Creator Content, participate in paid calls or video chats, or receive Creator Earnings.

We may keep records of your acceptance, including the version of this agreement accepted, date and time of acceptance, IP address, device information, account identifier, and related audit information.

5. Creator Account Operation and Authenticity

You must personally operate your Creator account. You must not allow any agency, assistant, manager, chat operator, impersonator, AI chatbot, automated messaging system, voice synthesis tool, or other third party to communicate with Fans, send messages, participate in calls or video chats, or otherwise operate your Creator account on your behalf.

You may receive administrative, technical, or production assistance that does not involve communicating with Fans, operating your Creator account, or misleading Users about who is participating in an interaction. You are responsible for all activity occurring through your account.

6. Creator Content and License

You retain ownership of your Creator Content, subject to the licenses granted in this agreement and the Terms of Service.

You grant us a nonexclusive, worldwide, royalty-free license to host, store, cache, transcode, reproduce, distribute, publicly display, publicly perform, monitor, review, moderate, remove, and otherwise use your Creator Content as necessary to:

  • operate, provide, secure, promote, and improve ThirstChat;
  • make Creator Content available to Fans through ThirstChat;
  • process payments, refunds, chargebacks, reversals, and payouts;
  • administer Creator Interactions;
  • enforce this agreement, the Terms of Service, and our policies;
  • investigate suspected fraud, abuse, illegal activity, or policy violations;
  • comply with law, card-network rules, payment processor, payment partner, and card-network requirements, and law-enforcement requests; and
  • exercise or defend legal claims.

You also grant us the right to use your name, username, image, likeness, profile materials, and branding you provide to promote you, your account, Creator Interactions, or ThirstChat.

We may sublicense these rights to our affiliates, service providers, vendors, payment processors, payout providers, compliance providers, and hosting or infrastructure providers solely to the extent necessary to provide ThirstChat, administer Creator Interactions, comply with law, or enforce this agreement and our policies.

We may use Creator Content to operate and improve automated enforcement tools for content moderation, safety, abuse detection, fraud prevention, and platform integrity. We will not use Creator Content to create AI personas that impersonate you.

To the extent permitted by law, you waive any moral rights you may have in Creator Content as necessary for us to exercise the rights granted under this agreement.

7. Creator Statements of Fact

Each time you upload, stream, send, or otherwise make Creator Content available through ThirstChat, you state that the following facts are accurate:

  • the Creator Content complies with the Terms of Service, Acceptable Use Policy, Content Moderation Policy, Anti-Human Trafficking, Anti-Sex Trafficking, and Anti-Prostitution Policy, this agreement, and all applicable laws;
  • you own the Creator Content or have obtained all rights, licenses, consents, permissions, and releases required to upload, stream, share, monetize, license, and distribute it through ThirstChat;
  • you consent to being depicted in the Creator Content and to making it available through ThirstChat;
  • each other person depicted in the Creator Content is at least 18 years old and has provided valid, informed, written consent to be depicted and to have the Creator Content uploaded, streamed, shared, distributed, monetized, and, where applicable, downloaded through ThirstChat;
  • the Creator Content does not contain child sexual abuse material, nonconsensual intimate imagery, unlawful deepfakes, trafficking or exploitation content, prostitution or solicitation, Content involving minors or persons who appear to be minors, or any Content prohibited by our policies;
  • the Creator Content does not infringe or violate any copyright, trademark, privacy, publicity, contractual, moral, or other right of any person;
  • if the Creator Content includes third-party material, you have secured all necessary rights, licenses, consents, permissions, and releases for its use;
  • where applicable, you have complied, and will continue to comply, with 18 U.S.C. sections 2257 and 2257A and 28 C.F.R. Part 75; and
  • you will provide Required Records and other compliance documents we reasonably request.

8. Consent, Records, and Co-Authored Content

You shall obtain and maintain all Required Records for Creator Content, including proof of identity, proof of age, written informed consent, performer releases, and records required under 18 U.S.C. sections 2257 and 2257A and 28 C.F.R. Part 75, where applicable.

If Creator Content includes, depicts, identifies, or features any person other than you, you shall ensure that each depicted or identified person is either:

  • a verified Creator identified through the tools available on ThirstChat; or
  • a person for whom you have obtained and maintained proof of identity, proof of age, and written informed consent covering the creation, upload, streaming, distribution, monetization, and, where applicable, downloading of that Creator Content through ThirstChat.

You and each Co-Author shall, upon request, provide documents reasonably necessary to confirm compliance with this agreement, the Terms of Service, our policies, or applicable law.

If you or anyone appearing in Co-Authored Content does not provide information or documents we reasonably request, we may restrict, remove, or disable access to the Co-Authored Content, restrict Creator features, suspend or terminate your account, withhold, reverse, or offset Creator Earnings attributable to the Co-Authored Content, or take other action permitted by this agreement.

We are not a party to any agreement to create Co-Authored Content or any resulting dispute. Claims arising from Co-Authored Content must be made against the Creator or other person responsible for that Co-Authored Content, and you release us from claims arising from Co-Authored Content to the extent permitted by law.

If we receive a report or dispute from an individual appearing in Co-Authored Content, we may restrict access to or remove the Co-Authored Content while we review the matter under our Complaints Policy, Appeals Policy, this agreement, and our other policies.

9. Live Video, Calls, and Real-Time Monitoring

Because ThirstChat allows live audio and live video Creator Interactions, you acknowledge that live interactions are subject to real-time and near-real-time monitoring, review, interruption, suspension, termination, and post-session review for safety, legal compliance, payment partner compliance, fraud prevention, and enforcement of this agreement, the Terms of Service, and our policies.

Monitoring may include automated tools, human review, metadata analysis, user reports, transaction review, keyword or pattern detection, screenshots, recordings, transcripts, logs, or other session information where available and permitted by law.

We may interrupt, suspend, or terminate any live Creator Interaction, restrict access to live features, preserve related records, require additional verification, or take other enforcement action if we reasonably believe the interaction involves or may involve illegal content, minors, nonconsensual content, trafficking or exploitation, commercial sexual services, off-platform solicitation, payment evasion, impersonation, coercion, fraud, or any other violation.

You shall immediately end and report any live interaction if you reasonably believe it involves a minor, nonconsensual conduct, trafficking, exploitation, prostitution or solicitation, coercion, blackmail, threats, fraud, or other illegal or prohibited activity.

10. Prohibited Conduct

You shall not, directly or indirectly:

  • use ThirstChat to advertise, solicit, arrange, facilitate, or imply in-person sexual services or sexual activity in exchange for money or anything of value;
  • share or request off-platform contact information or direct Fans to communicate or transact outside ThirstChat;
  • request or accept off-platform payments, gift cards, cryptocurrency, tips, deposits, travel money, booking fees, or other consideration related to activity initiated on ThirstChat;
  • use coded language, obfuscation, links, watermarks, QR codes, or other methods to evade platform rules;
  • use AI personas, automated messaging, third-party chat operators, impersonators, or account-sharing to simulate Creator interaction;
  • upload, stream, send, or make available Content involving minors, persons who appear to be minors, nonconsensual intimate imagery, unlawful deepfakes, trafficking or exploitation, bestiality, incest, sexual assault, or other prohibited Content;
  • engage in conduct that creates excessive disputes, chargebacks, fraud risk, payment-network risk, regulatory risk, or reputational risk;
  • retaliate against any person who submits a complaint, report, takedown request, or appeal;
  • misrepresent whether a Creator Interaction is live, personally conducted by you, or conducted through your verified Creator account;
  • use another person's identity, likeness, account, payment information, tax information, or verification materials; or
  • assist, encourage, or enable any other person to violate this agreement, the Terms of Service, our policies, or applicable law.

11. Creator Interactions and Fan Relationship

Creator Interactions must occur exclusively through ThirstChat and its approved billing and communication tools. You are responsible for the accuracy, quality, availability, authenticity, and lawfulness of your Creator Content and communications.

As part of a Creator Interaction, you grant the applicable Fan a nontransferable, nonsublicensable, nonexclusive, revocable license to access and view the applicable Creator Content and participate in the applicable communications solely through ThirstChat for the Fan's lawful, personal use.

This license does not grant the Fan any ownership rights in Creator Content. You must not grant Fans rights outside ThirstChat unless we expressly permit that feature in writing.

12. Pricing, Rates, and Platform Limits

Pricing, rates, and other terms for Creator Interactions may be set by you or by ThirstChat, depending on the feature, and are subject to platform rules, minimums, maximums, limits, and disclosures shown through ThirstChat.

We may change, restrict, suspend, or remove any pricing, rate, feature, payout method, payout threshold, or monetization option at any time where we reasonably believe doing so is necessary to operate ThirstChat, comply with law, satisfy payment processor, payment partner, and card-network requirements, reduce fraud or chargeback risk, address policy violations, or protect Users, the Company, or the platform.

13. Creator Earnings, Payouts, Refunds, Chargebacks, and Taxes

Fans use ThirstChat Credits to pay for Creator Interactions offered through your Creator account. For purposes of calculating Creator Earnings only, one ThirstChat Credit equals USD $1 when redeemed on ThirstChat, unless a different valuation is disclosed. ThirstChat Credits are not money, legal tender, or stored value and have no cash value except as expressly stated in the Terms of Service or this agreement.

You may request payouts of available Creator Earnings through ThirstChat. When we process a payout, you will receive your share of the USD value of ThirstChat Credits redeemed for Creator Interactions, after deducting applicable fees, adjustments, chargebacks, refunds, reversals, offsets, reserves, holdbacks, and amounts required by applicable tax law.

Creator Earnings become eligible for payout only after they are reflected as available in your Creator account, you meet any minimum payout threshold, and you satisfy all applicable verification, tax, payout, compliance, and fraud-prevention requirements.

If a Credit Purchase is refunded, reversed, charged back, disputed, adjusted, or cancelled, or if ThirstChat Credits are adjusted or reversed for any reason, we may reduce, reverse, offset, recover, or deduct the corresponding amount from your Creator Earnings, including from future Creator Earnings.

You are solely responsible for your own tax affairs. You shall report all Creator Earnings to the appropriate tax authorities in accordance with applicable law. If you are a U.S. Creator, we may require you to provide a completed IRS Form W-9 and may issue an IRS Form 1099 or other applicable information return.

14. Refunds, Adjustments, and Billing Disputes

You acknowledge that refunds, credits, adjustments, reversals, and chargebacks may affect Creator Earnings. If we issue or incur any refund, credit, adjustment, reversal, chargeback, chargeback fee, penalty, payment processing cost, or related cost in connection with a Credit Purchase, Creator Interaction, or your Creator Content or conduct, we may reduce, reverse, offset, recover, or deduct the corresponding amounts from your Creator Earnings, including from future Creator Earnings.

You shall not attempt to circumvent our refund, billing, payment, payout, chargeback, or dispute processes. Misuse of refund, billing, payout, or chargeback mechanisms constitutes a material breach of this agreement.

15. Enforcement

If we reasonably believe you violated this agreement, the Terms of Service, any platform policy, or applicable law, we may take action, including:

  • warning you or requiring acknowledgment or training;
  • removing, restricting, or disabling access to Creator Content;
  • interrupting, suspending, or terminating live Creator Interactions;
  • restricting Creator features, payout features, uploads, messaging, calls, or video chats;
  • requiring additional information, documents, records, or re-verification;
  • suspending or terminating your account;
  • withholding, freezing, delaying, suspending, reversing, offsetting, forfeiting, or recovering Creator Earnings;
  • preserving evidence and related records;
  • notifying payment partners, payout providers, financial institutions, regulators, law enforcement, or NCMEC where required or appropriate; and
  • pursuing other remedies available by law or contract.

16. Termination

You may stop acting as a Creator at any time by following the account tools we make available or by contacting us. We may suspend or terminate your Creator account or this agreement as permitted by the Terms of Service, this agreement, our policies, or applicable law.

If your Creator account or this agreement is suspended or terminated, you may lose access to Creator features, Creator Content, pending Creator Interactions, payout features, or other account functionality.

17. Indemnification

To the extent permitted by law, you shall indemnify us, our affiliates, licensors, service providers, payment processors, payout providers, and our and their respective officers, managers, employees, contractors, and agents from and against any third-party claims arising out of or relating to:

  • your breach of this agreement, the Terms of Service, or our policies;
  • your Creator Content, Creator Interactions, conduct, or use of ThirstChat;
  • any allegation that your Creator Content, conduct, or use of ThirstChat infringes or violates any intellectual property right, privacy right, publicity right, contractual right, consent right, moral right, or other right of any person;
  • your failure to obtain or maintain Required Records, consents, releases, age-verification materials, identity-verification materials, or 2257/2257A records;
  • your violation of any applicable law or regulation; and
  • any claims, demands, fees, fines, penalties, chargebacks, reversals, or other liabilities imposed by a payment processor, acquiring bank, card network, payout provider, financial institution, regulator, or other third party arising out of or relating to your Creator Content, Creator Interactions, conduct, or use of ThirstChat.

18. Incorporation of Platform Policies

The following documents apply to your use of ThirstChat as a Creator and are incorporated into this agreement by reference: the Terms of Service, Acceptable Use Policy, Content Moderation Policy, Complaints Policy, Appeals Policy, Age Verification Policy, DMCA Policy, U.S. TAKE IT DOWN Act Compliance Policy, Anti-Human Trafficking, Anti-Sex Trafficking, and Anti-Prostitution Policy, Privacy Policy, Platform to Business Regulation Terms, and any payout, tax, trader-information, or Creator onboarding disclosures we provide.

19. Changes to this Agreement

We may revise this agreement from time to time. If we make material changes, we will provide notice where required by law. Your continued use of Creator features after changes become effective means that you accept the revised agreement. If you do not agree to the revised agreement, you must stop using Creator features.
